Master Services Agreement (WaaS)

1) Scope of service

We design, host, and maintain a custom website. This includes hosting, SSL, and annual domain renewal, plus up to one (1) hour of standard content updates per month (text, photos, hours).

Out-of-scope items (structural redesigns, new page creation, e-commerce, third-party software management) are quoted separately at $95 CAD/hour.

2) Pricing & term

• Monthly fee: $200 CAD/month (GST exempt until applicable).
• Initial term: 12 months from the effective date.
• Auto-renewal: renews in 12‑month periods unless cancelled with 30 days’ written notice before renewal.
• Renewal pricing: maximum 10% increase with 30 days’ written notice.

3) Late payments

If a payment fails, there is a 15‑day grace period to update billing. If payment is not secured after the grace period, we may suspend hosting until the balance is paid.

4) Ownership & buyout

You own your logos, photos, branding, and written content. Red Wire Works retains ownership of the codebase, templates, and infrastructure while you are on WaaS.

You may purchase the site outright at any time for a $3,200 CAD buyout; upon payment, WaaS billing ends and we transfer the domain and codebase, with ongoing hosting/maintenance becoming your responsibility.

5) Liability & governing law

Liability is capped to the amount paid in the three (3) months preceding a claim. Client-provided assets must be owned/authorized by the client; the client indemnifies Red Wire Works for claims arising from those assets. Governing law: Alberta, Canada.
